1. Acceptance of Terms

These Terms of Sale ("Terms") govern all purchases of hardware, components, and related services made through the Neural Core Cloud website and sales platform. By placing an order, requesting a quote, or otherwise engaging in a transaction with Neural Core Cloud ("NCC" or "we"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are purchasing on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Quote-to-Order Process

Neural Core Cloud operates on a quote-based ordering model reflecting the dynamic pricing nature of enterprise-grade AI infrastructure. The process is as follows:

Step 1: Start Consultation

Select the products, configurations, and quantities you require on our platform. Submit a quote request through the "Start Consultation" button. You may specify delivery timelines, quantity discounts, or special configuration needs.

Step 2: Quote Review

Our sales engineering team reviews your request, verifies component availability with our supply chain partners (Gigabyte, NVIDIA, AMD, Mellanox, APC), and prepares a detailed quotation with pricing, lead times, and terms.

Step 3: Quote Acceptance

You receive a formal quotation via email or through your buyer dashboard. Acceptance of a quotation — whether through formal signature, purchase order reference, or payment authorization — constitutes a binding agreement under these Terms.

Step 4: Order Confirmation

Upon acceptance, NCC issues a purchase order confirmation with a reference number, updated delivery schedule, and payment terms. All orders are subject to final availability verification.

Step 5: Fulfillment & Delivery

NCC coordinates procurement, quality assurance, and shipping through its logistics partners. Estimated delivery windows are provided and subject to change based on supplier availability and freight conditions.

Important: Quotes are valid for 14 calendar days from the date of issuance. Prices are quoted in USD and are subject to change due to currency fluctuations, supply chain conditions, or supplier price adjustments. NCC reserves the right to cancel or modify any order if component availability becomes impossible or economically impractical.

3. Pricing and Payment Terms

3.1 All prices are quoted in United States Dollars (USD) unless otherwise specified. Prices may vary based on order volume, configuration complexity, and current supplier pricing.

3.2 Payment terms are determined at the time of quote approval and may include:

  • Net 30 — standard terms for approved enterprise accounts
  • 50/50 — 50% deposit upon order placement, 50% upon shipment
  • 100% Prepaid — for new accounts or orders exceeding established credit limits
  • Wire Transfer — for international orders or large-volume purchases

3.3 Sales tax, use tax, VAT, or other governmental charges apply where required by law. Tax exemption certificates must be provided at the time of order and are subject to verification.

4. Return and Refund Policy

4.1 Returns for Items Under $10,000

For individual items with a total value under $10,000, the following return policy applies:

  • Returns are accepted within 14 calendar days of confirmed delivery.
  • Items must be in original, unopened packaging with all accessories, documentation, and labels intact.
  • A Restocking Fee of 15% of the item price applies to all approved returns.
  • Refunds are processed within 10 business days of receiving and inspecting the returned item.
  • Return shipping costs are the responsibility of the buyer unless the item is damaged or was shipped in error.

4.2 Items $10,000 and Above

All individual items priced at $10,000 or more — including GPU servers, complete AI racks, and high-performance networking equipment — are final sale and are not eligible for return or refund except in the case of manufacturing defects covered under the applicable manufacturer warranty.

For defective items, contact our support team within 5 business days of delivery. NCC will coordinate with the original manufacturer (Gigabyte, NVIDIA, AMD, etc.) to arrange repair or replacement under warranty terms.

4.3 Damaged or Incorrect Shipments

If you receive a damaged or incorrect item, notify NCC within 48 hours of delivery. Provide photographs of the damage and the shipping packaging. NCC will arrange for a replacement or refund at no cost to the buyer, including return shipping. Freight claims are processed through our logistics insurance provider.

5. Warranties and Disclaimers

5.1 Manufacturer Warranty. All products sold by NCC are covered by the original manufacturer's standard warranty (typically 1–3 years, depending on the product line). NCC serves as a facilitator for warranty claims but is not the manufacturer and does not independently warrant products beyond the manufacturer's terms.

5.2 Disclaimer. EXCEPT AS EXPRESSLY PROVIDED HEREIN, ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." NCC DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

5.3 Limitation of Liability. NCC's total aggregate liability arising from or related to any transaction shall not exceed the total purchase price paid by the buyer for the specific product giving rise to the claim. NCC shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits or data.

6. Export Compliance

All products sold by Neural Core Cloud are subject to United States export control laws and regulations, including the Export Administration Regulations (EAR) administered by the Bureau of Industry and Security (BIS) and sanctions programs administered by the Office of Foreign Assets Control (OFAC).

By purchasing from NCC, you represent and warrant that you are not located in, controlled by, or acting on behalf of any person, entity, or jurisdiction subject to U.S. sanctions or export restrictions. This includes, but is not limited to: Cuba, Iran, North Korea, Syria, the Crimea region of Ukraine, and any person or entity listed on the U.S. Treasury Department's Specially Designated Nationals (SDN) List, BIS' Entity List, or Denied Persons List.

Certain products — particularly high-performance GPU accelerators and networking equipment — may be classified under specific ECCN codes and require export licenses for certain destinations. Refer to our Export Compliance page for detailed classification information.

7. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms or your purchases shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California. The prevailing party in any dispute shall be entitled to recover reasonable attorney's fees and costs.
